Breaking Code Silence’s Board of Directors

You may be asking yourself: Who is running Breaking Code Silence? Who is on their Board of Directors?

We have been in litigation with Breaking Code Silence for approximately 18 months and it is still unclear even to us.

We’ve received conflicting stories through the discovery process and public records requests.

Below is what is publicly available through court filings and public records requests.

On September 21st, 2022, Whiteley was served with Breaking Code Silence’s interrogatory responses. In it, Breaking Code Silence named Jennifer Magill, Vanessa Hughes, Dr. Apryl Alexander, Lenore Silverman, Dr. Denette Boyd-King, Dr. Dorit Saberi, and Dee Anna Hassanpour as members of the board of directors.

Breaking Code Silence later supplemented these interrogatories on December 12th, 2022, but the names of the directors remained the same.

The original and supplemented responses were signed by Jennifer Magill, CEO of Breaking Code Silence, under penalty of perjury.

Early in the McNamara et al. v Breaking Code Silence action, Jennifer Magill, CEO of Breaking Code Silence, even identified several of these board members by name as potential witnesses – even though they all joined the board long after McNamara and Whiteley’s resignation.

On September 13th, 2022, both parties entered into an agreement for an eDiscovery order in the Breaking Code Silence vs McNamara et al. case.

Per the eDiscovery order, the entire Breaking Code Silence Board of Directors were named as custodians to have their documents collected.

On April 28th, 2022, Breaking Code Silence filed a Statement of Information with the Secretary of State naming Rosanna Salgado McDonald as the Chief Financial Officer.

In late 2022, we received the following Lookbook via anonymous submission on our site, which purported to identify the Breaking Code Silence Board of Directors. It identified the same board of directors as the Interrogatories that Breaking Code Silence’s CEO signed months earlier but had one addition: Rosanna Salgado McDonald – who was also listed as a Chief Financial Officer on the information submitted to the California Secretary of State months earlier.

At the end of 2022, we did not receive much of the requested discovery from Breaking Code Silence in the McNamara et al. v Breaking Code Silence action. In an attempt to gather the requested information, we submitted a Freedom of Information Act request with the Los Angeles County Department of Mental Health for any emails related to Breaking Code Silence since one of the stated board members appeared to use her public email for board business.

The initial request came back with almost no results.

We then resubmitted the request and asked the Los Angeles County Department of Mental Health if they could check for deleted e-mails. The following was disclosed to us.

For this second FOIA records request asking to search the deleted emails, we received several board e-mails that we never received directly from Breaking Code Silence.

In early 2023, we received the signed Board Member agreements for Denette Boyd-King, Dorit Saberi, and Dee Anna Hassenpour through discovery.

Late April 2023, a discovery dispute arose in the Breaking Code Silence vs McNamara et al. action. Several Informal Discovery Conferences were convened between late April and early May. One of the disputes involved collecting from discovery sources and the custodians that Breaking Code Silence was obligated to collect from.

After the Informal Discovery Conference, counsel for Breaking Code Silence claimed that Dorit Saberi, Dee Anna Hassanpour, Denette Boyd-King, Rosanna Salgado McDonald, and others were never on the board.

After this dispute arose, subpoenas were issued to collect the documents from the missing custodians. Shortly after that, Denette Boyd-King, Dorit Saberi, and Dee Anna Hassanpour submitted declarations to the court stating they had never been on the board of directors.

When emailed regarding the subpoena, Ms. Salgado McDonald also replied that she was never a board member or even volunteer of the organization – despite being listed as the Chief Financial Officer with the California Secretary of State for the majority of 2022.
